These Terms of Service and Privacy Policy (together, the "Terms") govern your access to and use of the STRUCTRAX platform, websites, and related services (the "Service") operated by STRUCTRAX ("STRUCTRAX," "we," "us," or "our"). By accessing or using the Service, or by clicking to accept, you agree to be bound by these Terms on behalf of yourself and the company or entity you represent ("you" or "Customer"). If you do not agree, do not use the Service.
Terms of Service
1.Accounts & access
The Service is a business tool intended for construction and related professionals. You must be at least 18 years old and authorized to bind your company. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. Each STRUCTRAX customer operates within its own isolated tenant environment; you are responsible for managing the users you invite and the roles you assign them.
2.Acceptable use
You agree not to: (a) use the Service in violation of any law or third-party right; (b) upload content you do not have the right to upload; (c) attempt to gain unauthorized access to the Service, other tenants, or related systems; (d) interfere with or disrupt the integrity or performance of the Service; (e) reverse engineer or attempt to extract source code except as permitted by law; or (f) use the Service to store or transmit malicious code. We may suspend access to protect the Service or other customers.
3.Your data & ownership
As between you and us, you own the project data, documents, contracts, certificates, images, models, and other content you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service to you. You represent that you have the rights and any necessary consents to submit Customer Data, including documents authored by third parties (such as subcontractor certificates and contracts) and any personal information they contain. You are responsible for the accuracy of Customer Data and for maintaining your own backups of critical records.
4.Contract Intelligence & automated extraction — important
The Service includes features that read uploaded contracts and documents and propose requirements, limits, obligations, and other data using automated rules, optical character recognition (OCR), and/or artificial-intelligence techniques (collectively, "Automated Extraction").
Automated Extraction is an aid, not advice, and is not guaranteed to be accurate or complete.
- Extracted results are suggestions for human review only. The Service does not create, accept, or enforce any requirement automatically; a qualified person at your organization must independently review, verify, and confirm every extracted item before relying on it.
- Automated Extraction may misread, omit, or misinterpret information — particularly with scanned, handwritten, low-quality, or image-only documents that require OCR, and with obligations that reference or incorporate other documents not provided.
- Results do not constitute legal, insurance, surety, financial, or professional advice, and are not a substitute for review by your attorney, insurance broker, or other qualified advisor.
- You are solely responsible for reading your contracts, understanding your obligations, and confirming any figure, limit, endorsement, bond, deadline, or requirement before acting on it.
To the fullest extent permitted by law, STRUCTRAX is not liable for any error, omission, or misinterpretation in Automated Extraction, or for any decision made or action taken (or not taken) in reliance on it.
5.Compliance, insurance & bond tracking — important
The Service provides tools to record, organize, evaluate, and send reminders about insurance certificates, bonds, licenses, endorsements, expirations, and other contractual and regulatory obligations (the "Compliance Features"). The Compliance Features, including any automated pass/fail/warning evaluation and any expiration reminder, are provided to assist you and do not guarantee that you, your subcontractors, or any party are in compliance with any contract, law, or regulation.
You remain solely responsible for actual compliance.
- Automated evaluations compare the values you or others enter or upload against the requirements you configure. They may be wrong if inputs are inaccurate, incomplete, out of date, or misconfigured, and they never replace verification of the underlying certificate, bond, or policy with the issuing carrier or surety.
- Reminders and notifications are a convenience and may be delayed, missed, or not delivered. You must not rely on the Service as your sole means of tracking insurance, bonds, licenses, deadlines, or renewals.
- STRUCTRAX is not an insurance producer, broker, agent, surety, law firm, or advisor, and provides no advice regarding the adequacy of any coverage, bond, or compliance posture.
To the fullest extent permitted by law, STRUCTRAX is not liable for any lapse, gap, deficiency, penalty, uninsured or underinsured loss, stop-work, withheld payment, claim, or damages arising from your use of, or reliance on, the Compliance Features.
6.3D, AR & VR visualization
The Service includes 3D models and augmented- and virtual-reality (AR/VR) "walk-through" and "view in your space" features. These are visual approximations for illustration and planning only. They are not surveys, engineering drawings, or as-built records, and must not be used as the basis for construction layout, measurement, fabrication, safety clearances, or code compliance. Dimensions, placement, and scale are approximate and depend on the underlying model and your device.
7.Third-party services
The Service may interoperate with or rely on third-party services and integrations (for example, accounting software, mapping, e-signature, email and SMS delivery, supplier catalogs, content-delivery networks, and hosting providers). We do not control and are not responsible for third-party services, their availability, or their terms and privacy practices. Your use of an integration may be governed by that third party's terms.
8.Fees & subscriptions
If your use of the Service is subject to a subscription or order, you agree to pay all applicable fees as described in your order or invoice. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and subscriptions renew for successive terms until cancelled in accordance with your order. We may change fees on renewal with prior notice.
9.Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by STRUCTRAX and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription for your internal business purposes. All rights not expressly granted are reserved. You may not copy, resell, or create derivative works from the Service.
10.Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind.
To the fullest extent permitted by law, STRUCTRAX disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, secure, error-free, or that any result, calculation, extraction, evaluation, reminder, or output will be accurate, complete, or reliable. You assume full responsibility for your use of the Service and the results obtained from it.
11.Limitation of liability
To the fullest extent permitted by law, STRUCTRAX and its owners, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or for any lapse in insurance, bonding, or compliance, or for any stop-work, penalty, fine, claim, or third-party liability, arising out of or relating to the Service, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages.
In all events, STRUCTRAX's total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the total fees you paid to STRUCTRAX for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12.Indemnification
You agree to defend, indemnify, and hold harmless STRUCTRAX and its owners, officers, and employees from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service; (c) your violation of these Terms or any law; or (d) your reliance on any Automated Extraction, Compliance Feature output, or visualization.
13.Term & termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or to protect the Service or others. On termination, your right to use the Service ends. We may make Customer Data available for export for a limited period after termination, after which we may delete it in the ordinary course, subject to law and our backup cycles.
14.Governing law & disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Florida, and you consent to their jurisdiction. Any claim must be brought within one (1) year after it arises. If any provision is found unenforceable, the remaining provisions remain in effect.
15.Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Privacy Policy
This Privacy Policy explains how STRUCTRAX collects, uses, and shares information in connection with the Service. It forms part of these Terms.
16.Information we collect
- Account & contact information — name, email, company, role, and similar details you provide when you register, request a demo, or contact us.
- Customer Data — the projects, documents, contracts, certificates, bonds, images, 3D models, and related content you and your users upload or create, which may include personal information about your employees, subcontractors, and their agents (such as names, contact details, and information contained in insurance certificates and contracts).
- Usage & device information — log data such as IP address, browser type, pages accessed, and timestamps, used to operate and secure the Service.
- Cookies — we use strictly necessary cookies to keep you signed in and to remember basic preferences (such as language). We do not use the Service to sell your personal information.
17.How we use information
We use information to provide, operate, secure, support, and improve the Service; to authenticate users and enforce roles; to run automated extraction, compliance evaluation, and reminders that you request; to communicate with you about the Service; to process payments where applicable; and to comply with legal obligations. We process Customer Data on your behalf and under your instructions as part of providing the Service.
18.How we share information
We do not sell your personal information. We share information only: (a) with service providers and subprocessors who help us operate the Service (such as hosting, email and SMS delivery, and content-delivery networks) under obligations of confidentiality; (b) with integrations you choose to connect; (c) within your own tenant, according to the roles you assign; (d) as required by law or to protect rights, safety, and the security of the Service; and (e) in connection with a business transfer, subject to this Policy. Each customer's tenant data is logically isolated from other customers.
19.Data retention
We retain Customer Data for as long as your account is active or as needed to provide the Service, and thereafter as required to comply with legal obligations, resolve disputes, and enforce agreements. Certain records (such as an immutable compliance audit trail) are retained to preserve an accurate history of actions taken in the Service.
20.Security
We use reasonable technical and organizational measures designed to protect information, including tenant isolation, access controls, and encrypted transport. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for safeguarding your credentials and for the users you authorize.
21.Your choices & rights
Depending on your location, you may have rights to access, correct, delete, or export certain personal information, or to object to or restrict certain processing. Because much of the personal information in the Service is Customer Data controlled by the customer, we will generally direct such requests to the relevant customer and assist them in responding. To make a request, contact us using the details below.
22.Children
The Service is intended for business use and is not directed to children under 18. We do not knowingly collect personal information from children.
23.International users
The Service is operated in the United States. If you access it from elsewhere, you understand that your information may be processed in the United States, where data-protection laws may differ from those in your location.
24.Changes to this Policy
We may update this Privacy Policy from time to time. We will revise the "Last updated" date above and, where appropriate, provide additional notice.
